These Terms of Service constitute a legally binding agreement made between you, whether personally or on behalf of an entity ("you") and Digital Mind Agency ("Company," "we," "us," or "our"), concerning your access to and use of our website as well as any other media form, media channel, mobile website, or application related, linked, or otherwise connected thereto. By accessing the Site, you agree that you have read, understood, and agreed to be bound by all of these Terms of Service.
Digital Mind provides digital services including Web Development, AI Video Production, Digital Marketing, and SEO. Specific scopes of work, deliverables, timelines, and revision rounds will be detailed in individualized project contracts or Statements of Work (SOW). In the event of a conflict between these Terms and an SOW, the SOW shall prevail. We reserve the right to refuse service, terminate accounts, or cancel orders at our sole discretion.
All fees for our services are specified in the applicable project agreement or invoice. Unless otherwise agreed in writing, a non-refundable deposit is required before any work commences. Final deliverables will only be handed over upon receipt of full payment. Due to the custom nature of digital services, all sales are final, and we do not offer refunds for completed work or hours already logged by our team.
Unless otherwise indicated, the Site and all source code, databases, functionality, software, designs, audio, video, text, and graphics (collectively, the "Content") are owned or controlled by us. Upon full payment for custom services (such as website code or branding assets), the intellectual property rights for the final deliverables will be transferred to you, except for proprietary tools, base code, or frameworks owned by Digital Mind which will be licensed to you for use.
By using our services, you represent that all information you submit is accurate and you will maintain its accuracy. You may not access or use the Site for any purpose other than that for which we make the Site available. Prohibited activities include attempting to bypass security measures, copying our proprietary code, or engaging in unauthorized framing of or linking to the Site.
In no event will we or our directors, employees, or agents be liable to you or any third party for any direct, indirect, consequential, exemplary, incidental, special, or punitive damages, including lost profit, lost revenue, loss of data, or other damages arising from your use of the site or our services, even if we have been advised of the possibility of such damages.
These Terms shall be governed by and defined following the laws of the jurisdiction in which Digital Mind operates. Any legal action or proceeding related to your access to, or use of, the Site or services shall be instituted exclusively in a state or federal court located in that jurisdiction.
